Here, the underwriter makes a firm commitment to purchase the unsubscribed portion of the issue at the subscription price less a take-up fee. The underwriter usually receives a standby fee as compensation for his risk-bearing function. In practice, the subscription price is usually set well below the current market price, making the probability of a rights failure quite small.
